1Agreement to Terms
By accessing, downloading, installing, or using SmartClaw ("the Application", "the Software", "we", "us", or "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of these Terms, you must not access or use the Application. These Terms constitute a legally binding agreement between you ("the User", "you", or "your") and SmartClaw.
We reserve the right to update or modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 14 days before taking effect. Your continued use of the Application after changes take effect constitutes acceptance of the revised Terms.
2Eligibility
You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to use SmartClaw. By using the Application, you represent and warrant that you meet these eligibility requirements. If you are using SmartClaw on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3Account Registration and Security
To access certain features of SmartClaw, you must create an account by providing a valid email address. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You agree to immediately notify us of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to protect your account credentials. Each account is personal to you and may not be transferred to or shared with any other person.
4Subscriptions, Trials, and Billing
SmartClaw offers the following subscription options:
- • Free Trial: A 7-day free trial is available on our annual subscription plan. A valid payment method is required to start the trial. If you cancel before the trial period ends, you will not be charged.
- • Annual Plan: Billed annually in advance. Provides full access to all Application features, skills marketplace, cloud backups, and multi-device support.
- • Lifetime License: A one-time payment that grants perpetual access to the current major version of the Application. Lifetime licenses include all minor updates and patches within the purchased major version.
- • Admin-Granted Licenses: Licenses provisioned by SmartClaw administrators carry the same rights as lifetime licenses and remain valid unless explicitly revoked for Terms violations.
- • Cloud Relay Monthly: A recurring monthly subscription that keeps an OpenClaw instance running 24/7 on SmartClaw-managed infrastructure. Your own API keys are used for all AI inference (BYOK). Billed monthly in advance.
- • Cloud Relay Annual: The same Cloud Relay service billed annually at a discounted rate.
- • Cloud Relay Add-on: An annual Cloud Relay subscription available at a reduced rate exclusively for Lifetime license holders.
Upon cancellation of an annual subscription, your service will continue until the end of your current paid or trial period. We do not provide refunds for partial billing periods. All prices are listed in US Dollars unless otherwise stated. Applicable taxes may be added at checkout based on your billing jurisdiction.
5Device Limits
Each SmartClaw license is limited to a maximum of three (3) active device installations per account, unless a different device limit is specified in your subscription plan. You may deactivate devices from the Account panel in the Application to free up device slots. Abuse of device activation (e.g., automated rotation to circumvent limits) may result in license revocation.
6User Responsibilities and API Usage
SmartClaw is a "Bring Your Own Key" (BYOK) application. You are solely responsible for:
- • Obtaining and maintaining valid API keys from third-party AI providers (e.g., Anthropic, OpenAI, Google, Mistral, Groq, Hugging Face, Perplexity)
- • Ensuring you have the right to use those API keys in connection with SmartClaw
- • All charges incurred on third-party provider accounts as a result of using SmartClaw
- • Complying with the terms of service of each third-party provider you connect
- • Configuring appropriate budget limits and safety levels within the Application
SmartClaw provides budget controls and cost estimation features as a convenience. These are estimates only, and we do not guarantee their accuracy. You are responsible for monitoring your actual spending on third-party platforms.
7Acceptable Use Policy
Additionally, you agree not to:
- • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Application
- • Use the Application to engage in any activity that violates applicable local, state, national, or international law
- • Resell, sublicense, or redistribute the Application or any license keys without written authorization
- • Circumvent or attempt to circumvent device limits, license validation, or other technical restrictions
- • Use the Application to process, generate, or distribute content that exploits minors in any way
- • Impersonate any person or entity through content generated by the Application
We reserve the right to revoke your SmartClaw license without refund if you are found to be violating these rules. Repeated or severe violations may result in permanent account termination.
8Third-Party Integrations and Skills
SmartClaw integrates with third-party services including but not limited to AI providers, chat platforms (WhatsApp, Telegram, Discord, Signal, Slack), and skill marketplace items. By using these integrations, you agree to comply with the respective third-party terms of service associated with each integration.
Skills available in the SmartClaw Marketplace may be created by SmartClaw or by third-party developers. Premium skills require a separate one-time purchase. We do not guarantee the accuracy, reliability, or safety of third-party skills. You use third-party skills at your own risk.
SmartClaw acts as a conduit between your device and third-party services. We are not responsible for the availability, performance, or policies of any third-party service.
9Safety Levels and Automation
SmartClaw offers three safety levels that control how autonomously the AI assistant operates:
- • Ask Me First: The assistant always asks for your approval before taking any action.
- • Semi-Automatic: Safe, routine actions are executed automatically. Actions with potential consequences (file modifications, sending messages, financial operations) require your explicit approval.
- • Full Automatic: The assistant operates independently and takes actions without asking for approval.
By selecting Semi-Automatic or Full Automatic safety levels, you acknowledge and accept full responsibility for any actions the AI takes on your behalf, including but not limited to sending messages, modifying files, executing commands, and interacting with connected services. We strongly recommend starting with "Ask Me First" until you are comfortable with your configuration.
10Cloud Deployment and Cloud Relay
SmartClaw may be deployed in cloud environments (e.g., AWS, Google Cloud, Azure, Railway) using your existing license. Cloud deployments are subject to the same device limits and Terms as local installations. You are responsible for the security and configuration of your cloud infrastructure. SmartClaw is not liable for any security breaches, data loss, or service interruptions resulting from your cloud deployment configuration.
Cloud Relay Service
Cloud Relay subscribers receive a managed OpenClaw instance running on SmartClaw infrastructure. The following terms apply:
- • Uptime Target: SmartClaw targets 99.9% monthly uptime for Cloud Relay instances. This is a target, not a guarantee. Planned maintenance windows will be communicated via email at least 24 hours in advance.
- • API Keys: Your API keys are encrypted with AES-256-GCM before storage. Decryption occurs only in-memory within your isolated container. SmartClaw staff cannot access your plaintext API keys.
- • Resource Limits: Each Cloud Relay instance is allocated shared resources. Excessive resource consumption may result in throttling or temporary suspension.
- • Message Queue: Messages received by your cloud instance are queued for delivery to your desktop app. Delivered items are retained for 30 days; undelivered items are retained indefinitely until acknowledged.
- • Cancellation: Upon cancellation, your Cloud Relay instance remains active until the end of the current billing period. After a 3-day grace period, the instance and associated data are deprovisioned and permanently deleted.
11Intellectual Property
The SmartClaw Application, including its source code, design, documentation, logos, and trademarks, is the exclusive property of SmartClaw and is protected by applicable copyright, trademark, and intellectual property laws. Your license grants you the right to use the Application in accordance with these Terms. It does not grant you ownership of the Application or any intellectual property rights therein.
Content you create or generate using SmartClaw belongs to you, subject to any applicable third-party AI provider terms regarding generated content. We do not claim ownership of your input data, generated content, or configuration files.
12Data, Backups, and Cloud Chat Sync
SmartClaw provides cloud backup functionality for configuration data. While we take reasonable measures to protect backup data, we do not guarantee against data loss. You are responsible for maintaining your own backup copies of critical data. Cloud backup data is encrypted in transit using TLS and stored securely on our servers. You may delete your backup data at any time through the Application or by contacting support.
Cloud Chat Sync
Active subscribers may enable Cloud Chat Sync to synchronize conversation history across up to three (3) licensed devices. When enabled:
- • All conversation data is end-to-end encrypted on your device using AES-256-GCM before transmission. SmartClaw cannot read, decrypt, or access your conversation content.
- • Encrypted sync payloads are limited to 5 MB per account.
- • Cross-device pairing uses a 6-digit PIN to securely transfer the encryption key. SmartClaw does not retain or have access to your encryption key or PIN.
- • If you lose your encryption key and do not have another paired device, SmartClaw cannot recover your synced conversation data.
Adaptive Learning
SmartClaw's adaptive learning feature stores preferences, facts, and task patterns locally in the SQLite database on your device. This data is never transmitted to SmartClaw servers and remains under your full control. You may view, edit, or delete learned insights at any time from the Settings panel.
13Limitation of Liability
SmartClaw is an automation tool that acts on your behalf. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- • Data loss or corruption resulting from AI-initiated actions
- • Financial losses from third-party API charges or AI-initiated transactions
- • Damages resulting from unauthorized access to your account due to compromised credentials
- • Service interruptions, downtime, or errors in the Application
- • Actions taken by the AI assistant under Semi-Automatic or Full Automatic safety levels
- • Inaccurate, misleading, or harmful content generated by AI models
OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR YOUR SMARTCLAW LICENSE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
14Disclaimer of Warranties
THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Application will be uninterrupted, error-free, secure, or that defects will be corrected. AI-generated responses may contain inaccuracies, and you should not rely on them for critical decisions without independent verification.
15Indemnification
You agree to indemnify, defend, and hold harmless SmartClaw, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use or misuse of the Application; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) content generated through your use of the Application.
16Termination
We may terminate or suspend your account and access to the Application immediately, without prior notice, for any reason including but not limited to: violation of these Terms, fraudulent activity, non-payment, or abuse of the Application. Upon termination, your right to use the Application ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership, warranty disclaimers, indemnification, and limitations of liability.
You may terminate your account at any time by using the "Delete Account" option in the Application or by contacting support. Account deletion removes your cloud data, licenses, device links, and backups.
17Dispute Resolution
Any disputes arising from or relating to these Terms or the Application shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in English. The arbitration shall take place remotely or in the jurisdiction of SmartClaw's principal place of business. You agree to waive any right to a jury trial or to participate in a class action lawsuit.
18Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law provisions. If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect.
